M&A - Digital Assist of integration of Skydda.

This initiative will affect: Norway, Sweden, Finland.

Here Q4 mid-status for Skydda, divided into four main areas:

Area A: Skydda Acquisition and TSA Agreement
In the Skydda acquisition, there is a TSA (Transitional Service Agreement) that runs until June 2026. This agreement covers the purchase of IT, Finance, and other back-office functions from the seller, Bergman&Bewring.
Skydda is currently engaged in a significant implementation project, aiming to go live with Adobe Commerce on its current Movex platform in December 2025.
After the go-live, there will be a hypercare period over the Christmas holidays.
Ahlsell has actively provided Skydda with the space to focus on the Adobe Commerce implementation.

 
Area B: Ahlsell Mobilisation
In parallel, many activities are underway on the Ahlsell side to prepare for Skydda’s integration into Ahlsell. This includes everything from product master data to how Skydda will be organised under Ahlsell, as well as logistics Skydda’s warehouse function in Ulricehamn moves to Hallsberg.

• During the autumn, there have been sessions and GAP workshops to determine how Skydda’s solution will integrate with Ahlsell.

• In practice, Movex and Skydda’s PIM system will be replaced by Vivaldi and Step, integrated with Adobe Commerce.

The focus in the coming weeks is to secure internal and external resources to begin integration work after the Christmas holidays.

Area C: Skydda Transition
Skydda’s employees will move to Ahlsell before the TSA agreement ends. In Finland and Norway, Skydda’s staff will physically work at Ahlsell’s locations. Skydda employees will continue to use their own computers (+MACs) and work via VPN to access Skydda systems.
At Ahlsell, they use Ahlsell Guest and Azure Virtual Desktop to access Ahlsell systems. 

For the Swedish part of Skydda, new office space is on its way in Ulricehamn, with a lease agreement signed and WAN-lines ordered. This location will become an Ahlsell site, with access in Q1.
The transition from an HR perspective will also occur in Q1, which means some migration of emails and Teams will take place.
